1. Introduction

These Terms of Use, Sale, Compliance and Liability (“Terms”) govern your access to and use of the website insideFPV.com and any associated pages, applications, communication channels, digital platforms, products, services, content, quotations, catalogues, purchase flows, enquiry forms, support functions, training modules, demonstrations, and transactions made available by InsideFPV Ventures Private Limited, a company incorporated under the laws of India and having its registered office at Surat, Gujarat (“InsideFPV”, “Company”, “we”, “us” or “our”).

The Website is an internet-based platform for dissemination of information, enquiry management, sale/supply of drone systems, FPV systems, unmanned aerial vehicle components, accessories, training-related services, repair services, enterprise solutions, defence-oriented systems, agriculture-oriented systems, and other related offerings.

By accessing, browsing, registering on, enquiring through, purchasing from, or otherwise using the Website, you (“User”, “Customer”, “you” or “your”) acknowledge that you have read, understood, and agreed to be legally bound by these Terms, together with our Privacy Policy, shipping policy, warranty policy, return/refund policy, and any additional product-specific, service-specific, quotation-specific, order-specific, or compliance-specific terms issued by InsideFPV from time to time.

If you do not agree to these Terms, you must immediately discontinue use of the Website.

2. Eligibility

By using the Website, you represent and warrant that:

a. you are competent to contract under applicable law;
b. all information provided by you is true, accurate, current and complete;
c. where you act on behalf of a company, government body, institution, armed force, police unit, reseller, distributor, integrator, or other legal entity, you are duly authorized to bind such entity;
d. your use of the Website, products, and services shall at all times comply with all applicable laws, rules, regulations, notifications, advisories, and governmental directions.

InsideFPV reserves the absolute right, at its sole discretion, to refuse registration, reject orders, suspend accounts, request further verification, or decline any transaction or engagement without assigning any reason.

3. Nature of Products and Restricted Sector Notice

InsideFPV operates in a technically specialized and regulated sector involving drones, FPV systems, unmanned systems, electronics, communication systems, accessories, training aids, and related technologies. Certain products listed, displayed, marketed, quoted, or supplied by InsideFPV may have dual-use, industrial, research, agricultural, homeland security, enterprise, or defence-oriented applications.

Nothing on the Website shall be construed as an offer to sell any product or service where such sale, supply, export, transfer, use, possession, integration, deployment, or resale is restricted, prohibited, or subject to license, approval, vetting, end-use conditions, or governmental authorization under applicable law.

InsideFPV may, at its sole discretion, classify any product, enquiry, order, account, shipment, geography, customer, or end-use case as sensitive, restricted, export-controlled, compliance-sensitive, security-sensitive, or high-risk.

4. Acceptance of Terms and Modifications

Use of the Website is offered to you conditioned upon your acceptance, without modification, of all notices, terms, conditions, disclaimers, policies and instructions contained herein.

InsideFPV reserves the unilateral right to amend, modify, replace, supplement, or update these Terms, in whole or in part, at any time and without prior notice. Such revised Terms shall become effective immediately upon publication on the Website, unless otherwise specified.

Your continued use of the Website following such update shall constitute your binding acceptance of the revised Terms.

5. Regulatory Compliance and User Responsibility

Drone operations in India are regulated under the applicable legal and regulatory framework, including the Drone Rules, 2021, related DGCA requirements, Digital Sky procedures, and other applicable central, state, local, security, airspace, telecom, customs, and export-control rules. DGCA’s current official framework continues to route drone administration through the Drone Rules and Digital Sky ecosystem, and DGFT continues to regulate controlled exports under SCOMET.

You expressly acknowledge and agree that:

a. compliance with all aviation, airspace, security, local police, telecom, customs, import, export, data, privacy, radio-frequency, and operational laws is solely your responsibility;
b. you must independently verify whether any registration, UIN, certificate, pilot credential, permission, authorization, or operational approval is required for your intended use case;
c. product category, weight class, technical capability, communication payload, camera payload, autonomy level, encryption feature, or operating environment may change regulatory treatment;
d. certain border, restricted, protected, strategic, or sensitive areas in India may be subject to additional operational or access restrictions under separate legal regimes.

InsideFPV does not warrant that any particular product may be lawfully operated in your jurisdiction, your specific geography, your intended mission profile, or your institutional environment.

6. Defence, Security, Export Control and End-Use Restrictions

Without prejudice to the generality of the foregoing, the following shall apply to all defence-sensitive, strategic, dual-use, enterprise, institutional, government, police, paramilitary, border, and export-linked transactions:

a. InsideFPV may require KYC, organizational identity documents, GST details, authorization letters, end-user declarations, end-use certificates, consignee details, project details, site details, and such additional documentation as it deems necessary;
b. certain products, software, firmware, subsystems, payloads, communication modules, or technical data may be subject to export control, including the Indian SCOMET framework administered by DGFT;
c. no User shall export, re-export, transfer, resell, supply, lease, loan, gift, divert, route through an intermediary, or otherwise make available any restricted item in violation of applicable law;
d. no product shall be used for unlawful surveillance, weapons integration, cross-border activity, prohibited end-use, restricted end-user activity, or any activity contrary to Indian law;
e. InsideFPV reserves the right to reject or cancel any transaction where the customer, end-user, end-use, geography, routing, documentation, or payment profile raises compliance concerns;
f. InsideFPV may, without liability, hold, suspend, refuse dispatch, recall, or report a transaction if required by law, governmental request, sanctions screening, internal compliance review, or risk management policy.

The User further agrees not to remove, alter, bypass, obscure, or defeat any compliance-related safeguard, serialization, software control, firmware control, geo-restriction, or product traceability feature where applicable.

7. No Operational Authorization

Purchase, receipt, possession, training, demonstration, or technical support from InsideFPV does not constitute:

a. flight permission;
b. site clearance;
c. security clearance;
d. pilot certification;
e. waiver of any governmental approval;
f. approval for use in restricted, border, defence, strategic, or no-fly areas; or
g. approval for export, re-export, transfer, or military deployment.

All such permissions, if required, must be independently obtained by the User.

8. Product Information and Website Content

While InsideFPV endeavors to ensure that product specifications, images, descriptions, compatibility statements, availability, lead times, commercial terms, warranty descriptions, and pricing information are accurate, the Website may contain typographical errors, technical inaccuracies, omissions, delays, outdated information, or non-material discrepancies.

InsideFPV does not warrant that product descriptions, stock status, brochures, manuals, images, marketing statements, performance references, or other content on the Website are complete, current, error-free, or suitable for your intended purpose.

We reserve the right to correct any error, inaccuracy, omission, or misstatement at any time, including after an order is placed, and to cancel or modify any affected order.

9. Pricing, Quotations and Offers

All prices, offers, discounts, bundles, campaigns, and promotional terms displayed on the Website are subject to change at any time without prior notice.

Unless expressly stated otherwise:

a. prices are subject to applicable taxes, duties, levies, freight, insurance, packaging, compliance documentation charges, installation charges, and payment gateway charges;
b. quotations issued by InsideFPV are valid only for the period expressly stated therein;
c. a displayed price does not obligate InsideFPV to accept an order;
d. any ongoing offer may be withdrawn, modified, suspended, or discontinued at InsideFPV’s sole discretion.

10. Orders, Acceptance and Right to Refuse

An order placed by you shall be treated only as an offer to purchase. No order shall be deemed accepted unless expressly confirmed by InsideFPV through an order confirmation, invoice, dispatch communication, written acceptance, or supply action.

InsideFPV reserves the right to refuse, hold, split, delay, verify, modify, or cancel any order, including in cases involving:

a. pricing errors;
b. stock unavailability;
c. incomplete or suspicious KYC;
d. restricted geography or end-use;
e. export-control concerns;
f. payment failure or chargeback risk;
g. technical mismatch or compatibility concern;
h. suspected fraud, impersonation, unauthorized dealing, or unlawful activity.

11. Payment Terms

Payments may be made through approved modes made available on the Website, including but not limited to UPI, debit cards, credit cards, net banking, wallets, EMI channels, gift cards, reward points, bank transfer, or such other methods as may be permitted from time to time.

All online payments are processed through third-party payment gateways or banking channels subject to the rules of the Reserve Bank of India, card networks, banks, and payment service providers. InsideFPV is not responsible for any failure, delay, refusal, reversal, unauthorized transaction, payment interruption, banking outage, gateway error, or data compromise occurring at the level of such third-party systems, except to the extent mandated by applicable law.

InsideFPV may require advance payment, milestone payment, full prepayment, institutional verification, or written purchase authorization before processing any order.

12. Final Sale; Refund, Return and Credit Terms

Given the specialized, technical, compatibility-sensitive, and compliance-sensitive nature of drone and FPV products, all sales shall, unless expressly agreed otherwise in writing by InsideFPV, be treated as final.

Accordingly:

a. no refund shall be available once payment is processed and the order is accepted;
b. no return shall be accepted for reasons of compatibility error, change of mind, lack of technical knowledge, delayed project approval, procurement change, internal approval failure, or mistaken selection by the customer;
c. no credit note shall be mandatory, and any credit note, replacement, or commercial accommodation shall be at InsideFPV’s sole discretion;
d. in case of supply of an incorrect item attributable solely to InsideFPV, the Company may, at its sole discretion, offer replacement, rectification, or store credit, subject to internal verification.

Nothing herein limits statutory remedies that cannot lawfully be excluded under applicable law.

13. Sample Orders and Evaluation Units

Samples, testing units, demonstration units, and evaluation products are chargeable unless expressly confirmed otherwise in writing. Such units are supplied on a no-refund basis and may be subject to separate commercial, handling, return, testing, confidentiality, or damage clauses.

Any adjustment of sample charges against future bulk orders shall be purely discretionary unless contractually committed by InsideFPV in writing.

14. Technical Advice and Pre-Sale Support

Any guidance, recommendation, compatibility input, BOM suggestion, tuning suggestion, mission suggestion, or technical support provided by InsideFPV before sale is indicative only and is based on information supplied by the customer.

The final responsibility for product suitability, integration compatibility, regulatory permissibility, payload matching, electrical safety, environmental endurance, mission configuration, and deployment risk remains solely with the customer.

15. Safety Warning and Assumption of Risk

You acknowledge that drones, FPV systems, batteries, propulsion systems, chargers, radios, antennas, electronics, communication modules, power systems, and related components are inherently hazardous and may cause serious injury, death, fire, explosion, property damage, signal interference, or operational failure.

Spinning propellers, high-current systems, lithium batteries, RF systems, and airborne equipment involve significant risk. You agree that:

a. products shall be handled only by appropriately trained or supervised persons;
b. batteries shall be charged, stored, transported, and used strictly in accordance with safe practice;
c. propellers shall not be mounted during bench configuration unless operationally required and appropriate precautions are taken;
d. all systems shall be tested in a safe environment before use;
e. no product shall be used recklessly, unlawfully, negligently, or beyond prescribed operating limits.

All use is entirely at your own risk.

16. Product-Specific Flight Precautions

Where InsideFPV provides operational manuals, quick-start guides, checklists, or model-specific safety advisories, the User shall strictly comply with the same.

Without limitation, Users must ensure prior to flight, where applicable, that:

a. the system is physically intact and correctly assembled;
b. propeller orientation is correct;
c. radio link, video link, GPS lock, failsafe, battery voltage, antenna condition, and mode configuration are verified;
d. pre-arm checks are completed;
e. the launch and recovery area is safe and legally permissible.

Any operation contrary to the manual, checklist, good engineering practice, or lawful flying norms shall be deemed unsafe and unauthorized.

17. Limited Repair Support / Limited Crash Policy

Unless expressly stated otherwise in a product page, invoice, quotation, warranty card, or written commitment from InsideFPV, products are supplied on an “as is” basis without warranty.

Where InsideFPV expressly offers a limited repair support or limited crash support policy for specified products, such policy shall be governed strictly by the written terms communicated for that product and shall remain subject to inspection, misuse exclusions, component cost exclusions, logistics conditions, and approval by InsideFPV’s service team.

For avoidance of doubt:

a. any such support, if offered, is limited and conditional;
b. shipping, handling, inspection, replacement part cost, labour scope, downtime, and turnaround may vary;
c. no warranty shall apply where the product has been tampered with, modified, improperly installed, improperly tuned, crashed due to pilot error, used in bad weather, exposed to moisture, dust ingress, excessive vibration, RF interference, or serviced by an unauthorized person.

18. FPV Components Warranty Disclaimer

All FPV components, spare parts, accessories, electronics, communication modules, antennas, frames, motors, ESCs, flight controllers, video systems, batteries, connectors, and similar items are sold without distributor warranty unless expressly stated in writing.

Any manufacturer warranty, if available, shall be subject solely to the manufacturer’s own terms, processes, determination, and support channels. InsideFPV acts only as a seller or intermediary and shall not be obligated to process, honour, or satisfy manufacturer warranty claims unless it expressly agrees to do so in writing.

19. Exclusions from Warranty / Support

Without limiting general exclusions, warranty, repair support, or replacement support shall not apply to damage or defects caused by:

a. crash, collision, impact, hard landing, water ingress, fire, misuse, abuse, negligence, or improper storage;
b. bad weather, rain, strong wind, sand, dust, magnetic disturbance, or EMI/RF interference;
c. use of unauthorized parts, firmware, software, payloads, batteries, chargers, or accessories;
d. improper assembly, incorrect voltage, reverse polarity, over-discharge, over-charge, or poor soldering/integration;
e. unauthorized repair, modification, disassembly, or circuit alteration;
f. failure to follow manuals, instructions, checklist procedures, or prescribed operating parameters;
g. natural wear and tear, consumables, cosmetic damage, or normal degradation;
h. unlawful use or restricted-area use.

20. Limitation of Liability

To the maximum extent permitted by applicable law, InsideFPV, its directors, officers, employees, consultants, agents, licensors, service providers, channel partners, and affiliates shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive loss or damage, including loss of profit, revenue, business, contracts, data, goodwill, use, opportunity, anticipated savings, mission failure, downtime, reputational loss, regulatory action, or third-party claims, arising out of or in connection with:

a. use or inability to use the Website;
b. delay or failure of dispatch, delivery, installation, integration, support, or repair;
c. use, misuse, or deployment of any product;
d. unauthorized, unlawful, negligent, or high-risk operation by the User;
e. product failure, crash, communication loss, interference, or environmental conditions;
f. any regulatory non-compliance by the User.

To the extent any liability is established notwithstanding the foregoing, the aggregate liability of InsideFPV shall not exceed the net purchase price actually received by InsideFPV for the specific product or service giving rise to the claim.

You acknowledge that this limitation is an essential basis of the commercial arrangement between the parties.

21. Indemnity

You agree to fully indemnify, defend, and hold harmless InsideFPV, its group entities, affiliates, directors, officers, employees, agents, licensors, representatives, and service providers from and against all claims, actions, proceedings, liabilities, losses, damages, fines, penalties, costs, and expenses, including reasonable legal fees and enforcement costs, arising out of or in connection with:

a. your use of the Website, products, or services;
b. your breach of these Terms;
c. your violation of applicable law, export controls, aviation regulations, security restrictions, or third-party rights;
d. your misuse, resale, diversion, or unauthorized deployment of products;
e. any injury, death, property damage, airspace violation, compliance action, seizure, confiscation, or third-party claim connected to your use, transfer, possession, or operation of the product.

This indemnity shall survive termination, suspension, cancellation, completion of sale, and cessation of Website access.

22. Account Security and Unauthorized Access

If you create an account or submit data through the Website, you are responsible for maintaining the confidentiality of your credentials and for all activities carried out under your account or identity.

You shall immediately notify InsideFPV of any unauthorized use, suspected compromise, impersonation, account misuse, or cybersecurity incident associated with your account or transaction.

23. Intellectual Property

All content on the Website, including text, logos, trademarks, trade names, product names, technical literature, images, catalogues, manuals, software elements, graphics, audiovisual material, page layout, source compilations, databases, and proprietary content, is the property of InsideFPV or its licensors and is protected by applicable intellectual property laws.

No part of the Website may be copied, reproduced, republished, transmitted, displayed, translated, reverse engineered, commercially exploited, or used to create derivative works without prior written consent from InsideFPV.

24. Confidentiality and Restricted Information

Any technical, commercial, compliance, pricing, defence-related, integration-related, roadmap-related, or project-specific information provided by InsideFPV shall be treated as confidential unless already in the public domain.

Users shall not disclose, circulate, replicate, publish, reverse engineer, benchmark, transfer, or misuse any restricted or confidential information shared by InsideFPV, especially information relating to defence-oriented, security-oriented, or controlled products.

InsideFPV may require separate NDAs, end-use undertakings, visitor controls, or access restrictions for certain classes of information, products, or projects.

25. Suspension, Cancellation and Blacklisting Rights

InsideFPV may, at its sole discretion and without prior notice, suspend or terminate access to the Website, cancel orders, refuse support, reject future transactions, or internally blacklist a User where it reasonably believes that:

a. the User has breached these Terms;
b. the User has supplied false or incomplete information;
c. the transaction presents legal, compliance, export, fraud, reputational, or operational risk;
d. the products may be diverted, misused, illegally deployed, reverse engineered for wrongful purpose, or transferred to unauthorized persons.

26. Force Majeure

InsideFPV shall not be liable for any delay, interruption, suspension, or failure in performance caused by events beyond its reasonable control, including acts of God, fire, flood, epidemic, pandemic, war, terrorism, riot, labour disruption, embargo, cyber incident, telecom outage, power failure, transport disruption, customs hold, governmental restriction, export-control review, or shortage of components or logistics services.

27. Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms, the Website, any quotation, purchase, supply, service, payment, warranty issue, compliance issue, or other transaction with InsideFPV shall first be attempted to be resolved through good-faith negotiations within 30 (thirty) days from written notice of dispute.

If such dispute is not resolved, it shall be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996, as amended from time to time.

The arbitration shall be conducted by a sole arbitrator mutually appointed by the parties. If the parties fail to mutually appoint the arbitrator within the applicable period, the appointment shall be made in accordance with applicable law.

The seat and venue of arbitration shall be Surat, Gujarat, India.
The language of arbitration shall be English.
The arbitral award shall be final and binding upon the parties.

28. Governing Law and Exclusive Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India.

Subject to the arbitration clause above, the courts at Surat, Gujarat, India alone shall have exclusive jurisdiction over all matters arising out of or in connection with these Terms and the use of the Website.

29. Severability

If any provision of these Terms is held to be invalid, unlawful, or unenforceable, such provision shall be severed to the extent necessary, and the remaining provisions shall remain valid and enforceable.

30. No Waiver

No failure, delay, or omission by InsideFPV in exercising any right, remedy, power, or privilege under these Terms shall operate as a waiver thereof.

31. Assignment

You may not assign, novate, transfer, delegate, sublicense, or otherwise deal with your rights or obligations under these Terms without prior written consent of InsideFPV.

InsideFPV may assign, transfer, novate, subcontract, or otherwise deal with its rights or obligations under these Terms without restriction.

32. Entire Agreement

These Terms, together with the Privacy Policy and any applicable product-specific, quotation-specific, invoice-specific, service-specific, warranty-specific, compliance-specific, or contractual terms issued by InsideFPV, constitute the entire agreement between you and InsideFPV relating to the subject matter hereof and supersede all prior communications on that subject.

33. Survival

Clauses relating to compliance, export control, end-use restrictions, payments, final sale, warranty disclaimers, limitation of liability, indemnity, intellectual property, confidentiality, dispute resolution, jurisdiction, and all other provisions which by their nature are intended to survive, shall survive termination of these Terms or cessation of use of the Website.
